These Terms of Service ("Terms") govern your access to and use of the Damsole Technologies Limited platform and services. By registering or using our services, you agree to these Terms in full.
1. Definitions
- "Damsole" — Damsole Technologies Limited, registered in England and Wales
- "Platform" — Damsole's ISO payment operating platform, APIs, dashboards, and related services
- "Merchant" — an independent business or ISO partner that has been approved and onboarded onto the Platform
- "Services" — all payment infrastructure, processing, and ancillary services provided by Damsole
- "End Customer" — a consumer making a payment to a Merchant through the Platform
2. Eligibility & Registration
To use the Platform, you must: (a) be a duly registered business entity; (b) have completed our KYC/KYB verification process; (c) agree to these Terms and all applicable policies; and (d) not be subject to sanctions or operating in a prohibited jurisdiction.
Damsole reserves the right to refuse or terminate access to the Platform at its sole discretion, including where we have reason to believe that applicable laws, regulations, or network rules are being violated.
3. Platform Services
Damsole provides payment processing infrastructure on an "as-is" basis. We act as a technology intermediary; we are not a bank, payment institution, or financial services provider in our own right. All payment processing activities are conducted through regulated third-party payment processors and card networks.
Damsole does not hold, receive, or control Merchant funds. Settlement flows directly between the payment networks and the Merchant's designated bank account.
4. Merchant Obligations
Merchants must:
- Only process transactions for goods and services described during onboarding
- Comply with all applicable laws, card network rules, and Damsole's Acceptable Use Policy
- Maintain accurate and up-to-date business and identity information
- Promptly respond to requests from Damsole regarding disputed transactions or compliance matters
- Not use the Platform for any prohibited business categories (see Section 7)
5. Fees
Fees for using the Platform are set out in your individual Merchant Agreement. Damsole reserves the right to amend fee schedules with 30 days' written notice. Continued use of the Platform after fee changes take effect constitutes acceptance.
6. Chargebacks & Disputes
Merchants are responsible for managing chargebacks arising from their transactions. Damsole may, at its discretion, hold reserve funds against Merchants with elevated chargeback ratios. Merchants with chargeback rates exceeding card network thresholds may be subject to suspension or termination.
7. Prohibited Activities
The Platform may not be used for, or in connection with:
- Illegal goods or services
- Activities that violate card network rules (Visa, Mastercard)
- Money laundering, terrorist financing, or sanctions evasion
- Adult content, gambling, or high-risk categories not pre-approved by Damsole
- Misleading or deceptive business practices
- Any activity that exposes Damsole or its payment partners to legal, reputational, or financial risk
8. Limitation of Liability
To the fullest extent permitted by law, Damsole shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Platform. Our total aggregate liability for any claim shall not exceed the fees paid by the Merchant to Damsole in the three months preceding the event giving rise to the claim.
9. Termination
Either party may terminate the Merchant Agreement with 30 days' written notice. Damsole may terminate immediately in cases of fraud, regulatory non-compliance, or material breach of these Terms. Upon termination, all outstanding settlements will be processed in accordance with standard timelines, subject to any reserve or chargeback obligations.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
