Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Damsole Technologies Limited platform and services. By registering or using our services, you agree to these Terms in full.

To use the Platform, you must: (a) be a duly registered business entity; (b) have completed our KYC/KYB verification process; (c) agree to these Terms and all applicable policies; and (d) not be subject to sanctions or operating in a prohibited jurisdiction.

Damsole reserves the right to refuse or terminate access to the Platform at its sole discretion, including where we have reason to believe that applicable laws, regulations, or network rules are being violated.

3. Platform Services

Damsole provides payment processing infrastructure on an "as-is" basis. We act as a technology intermediary; we are not a bank, payment institution, or financial services provider in our own right. All payment processing activities are conducted through regulated third-party payment processors and card networks.

Damsole does not hold, receive, or control Merchant funds. Settlement flows directly between the payment networks and the Merchant's designated bank account.

Fees for using the Platform are set out in your individual Merchant Agreement. Damsole reserves the right to amend fee schedules with 30 days' written notice. Continued use of the Platform after fee changes take effect constitutes acceptance.

6. Chargebacks & Disputes

Merchants are responsible for managing chargebacks arising from their transactions. Damsole may, at its discretion, hold reserve funds against Merchants with elevated chargeback ratios. Merchants with chargeback rates exceeding card network thresholds may be subject to suspension or termination.

8. Limitation of Liability

To the fullest extent permitted by law, Damsole shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Platform. Our total aggregate liability for any claim shall not exceed the fees paid by the Merchant to Damsole in the three months preceding the event giving rise to the claim.

9. Termination

Either party may terminate the Merchant Agreement with 30 days' written notice. Damsole may terminate immediately in cases of fraud, regulatory non-compliance, or material breach of these Terms. Upon termination, all outstanding settlements will be processed in accordance with standard timelines, subject to any reserve or chargeback obligations.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
